Why Entity Vesting Matters
Conventional investment financing almost always requires title in your personal name. DSCR lending generally permits an LLC, LP or corporation, which is one of its quieter but more significant advantages.
The reasons investors want it are liability separation between properties, cleaner partnership structures, and simpler estate and transfer planning. Whether an LLC actually delivers the protection you want is a legal question for your attorney — but the financing side no longer blocks it.
What the Lender Needs
Expect to provide entity documentation alongside the standard file.
- Articles of organisation filed with the California Secretary of State
- Operating agreement showing ownership percentages and signing authority
- EIN letter from the IRS
- Certificate of good standing where the entity is not newly formed
- Personal identification for every member owning 20% or more
The Personal Guarantee
Closing in an LLC does not usually mean walking away from personal liability. Most DSCR lenders require a personal guarantee from members holding 20% or more, which means your credit is pulled and you remain personally on the hook.
A minority of lenders offer non-recourse DSCR loans without a guarantee, generally at a higher rate and lower loan-to-value. If genuine non-recourse matters to you, say so at application — it narrows the lender list considerably.
Do not transfer after closing without asking
Moving a property into an LLC after closing a personal-name loan can trigger the due-on-sale clause, allowing the lender to call the balance. Some lenders permit it in writing; many do not. If entity ownership is the goal, close in the entity from the start rather than transferring later.
Newly Formed LLCs
A brand-new entity with no operating history is generally acceptable on a DSCR loan, precisely because the lender is underwriting the property rather than the business. That differs sharply from commercial lending, where entity history matters.
Form the LLC before you apply, not during underwriting. A mid-process change of vesting usually restarts documentation and can delay closing by a week or more.
Cost and Practical Trade-Offs
California charges an $800 annual minimum franchise tax per LLC, which is a real cost to weigh against the benefit — particularly for investors considering a separate entity per property. Some lenders also price entity-vested loans marginally higher, though many do not.
